Are you ready to make your mark as part of the Infrastructure M&A team within the Private Equity practice of our London office?
As an associate in our team, you will be immersed in an exciting work environment, handling challenging, high-profile deals that demand a dynamic approach and resilience. You will work closely with partners within our team and collaborate with colleagues across various practice areas in the firm. With a strong cross-border dimension to our work, you will also interact regularly with lawyers across our global offices and travel internationally as required.
Our Private Equity practice is a highly integrated, multi-disciplinary group of lawyers recognized as one of the foremost in the field. The Infrastructure M&A team are an integral part of this practice, focusing on investments by financial sponsors into the infrastructure and energy asset class. We handle market-leading transactions, from strategic add-on deals to groundbreaking acquisitions. At the mid-level, you will manage a wide range of deal-focused tasks, such as leading diligence exercises, drafting documents, and managing outside counsel and teams of junior fee-earners. We place a strong emphasis on professional development, providing associates with significant responsibility early in their careers.
We are currently looking for mid-level associates to join our Infrastructure M&A team within the Private Equity practice in London. You should possess excellent academic credentials and be commercially minded, with enthusiasm for international deal-making. A confident team player, you should enjoy working as part of a tightly knit group and demonstrate a willingness to help your colleagues get the deal done. Excellent communication and interpersonal skills are essential for forming strong professional relationships and explaining sophisticated legal and commercial concepts clearly. Highly organised and deadline-driven, you should relish the challenge of delivering outstanding work within the short timeframes our clients expect. Key Responsibilities
- Provide strategic advice to financial sponsor clients investing into infrastructure and energy businesses on a range of complex cross-border leveraged acquisitions, minority / control divestitures, consortium structures, co-investments and strategic joint ventures.
- Manage and coordinate all aspects of an infrastructure / energy M&A transaction and conduct comprehensive due diligence with a solid grounding in the commerciality of the infrastructure / energy sectors and draft key transaction documents, such as purchase agreements, shareholder agreements and investment agreements.
- Identify and pursue business development opportunities, assisting with and implementing firm-wide strategies.
- Engage proactively with clients to build and maintain strong relationships, providing strategic advice and addressing their needs.
- Collaborate closely with partners and colleagues across various practice areas within the firm to provide integrated legal services.
- Mentor and supervise junior team members, including trainees, and manage outside counsel.
- Develop and share legal and sector knowledge both internally and externally.
Qualifications and Skills
- 3-5 years’ experience within infrastructure and energy M&A transactions, gained wholly or in part at a large commercial law firm.
- Strong academic record and intellectual curiosity.
- Commercially aware with ability to see the big picture.
- Good interpersonal and communication skills, both written and verbal.
- Able to prioritise and multi-task particularly when working under pressure and to tight deadlines.
- Able to interact positively at all levels and be a good team player.
- Driven by professional growth with strong professional presence.

Location and Reporting
- This role is based in our London office. This role reports to the London Private Equity Partners.
- Our standard office hours are 09:30-18:00, with a current requirement for 3 days in the office per week.
