Who we are & where you'll work

The corporate department offers our clients access to a full range of corporate and commercial legal services, including private company mergers and acquisitions, corporate finance, private equity, re-organisations, share buybacks, joint ventures, outsourcing of services, commercial contracts and corporate governance.

Working as part of a high-performing team, the new recruit will advise clients operating in a variety of sectors on a range of commercial contract and some regulatory matters, but with a main focus on IT commercial matters and related contracts. The new recruit will also apply their commercial knowledge to assist with commercial contract due diligence work from time to time. Although the role would be for commercial law matters principally, there would be scope for and a willingness for that recruit to develop skills to also advise on company law and private company M&A, joint venture and other transactional matters, if that were of interest to the new recruit.

The corporate department is supported by specialists in our other departments, including banking, tax, employment and intellectual property.

What you'll be doing

  • Advising on/preparing a wide variety of commercial contracts and commercial matters, including terms and conditions, bespoke contracts for the sale and purchase of goods and services, framework agreements and call-off contracts (in particular in relation to IT goods and services);
  • Advising on data protection and other regulatory matters that typically are relevant to private companies and their businesses (for example regulations regarding supply goods and service to consumers, and the use of website and marketing materials);
  • Advising on outsourcing arrangements and collaboration agreements for both private and public sector clients;
  • Advising on ad hoc day-to-day commercial queries from our corporate clients;
  • Initiating, building and maintaining effective client relationships;
  • Ensuring files are managed in compliance with Lexcel procedures;
  • Pro-active participation in department and firm-wide marketing initiatives;
  • Training and development of junior legal staff (where appropriate).

What you might also be doing (if applicable)

We would also welcome a candidate who was willing to support and advise on (any of) the following areas:

  • Advising on private company acquisitions and disposals – including both share and business/asset deals;
  • Advising on joint ventures and private company reorganisations, intra-group transfers and succession planning/exits;
  • Setting up corporate structures, preparing shareholders agreements/investment agreements and advising on funding arrangements;
  • Advising on general corporate matters including share buy-backs, distributions and corporate governance;

What you'll need

The firm has a Career Development Framework which sets out the competencies we expect of those at the Solicitor level grade. In particular for this role we require:

  • Ability to manage files independently with appropriate supervision
  • Commercial awareness;

  • Client management experience;
  • Qualified Solicitor with at least 2-3 years' relevant experience
  • Directly relevant post-qualification experience gained at a recognised and busy corporate/commercial practice;
