About the role and team
We are a nationally known law firm with a fast-growing corporate and commercial practice; working with a wide range of businesses, social enterprises, and ethical entrepreneurs.
The successful lawyer will join the corporate team but work closely with colleagues from other disciplines from across the firm including, funding, employment, pensions, property, data protection, regulatory and private client. The successful candidate will also get to work across the different sectors within Anthony Collins, with an initial focus on the Health and Social Care sector and Social Business.
We are seeking a lawyer with good company and commercial experience and a proven track record in corporate work. The candidate must be capable of working on their own initiative, including running transactions and working closely with other members of the team.
We anticipate that the work will include:
- Advising on asset and share acquisitions and disposals, hive-ups and spin-out of companies;
- Reorganisations of business structures – this will include a wide range of business structures including companies limited by shares, companies limited by guarantee and co-operatives;
- Corporate Finance Projects including social investment projects;
- Employee Ownership Projects;
- Joint ventures both corporate and contractual. A particular emphasis will be placed on the Social Housing Sector;
- Collaboration Agreements;
- Advising on governance issues such as procedure, functions, constitutional interpretation and design;
- Formation and registration of companies, partnerships and LLPS;
- Drafting and advising on Shareholders and Partnership agreements; and
- Advising on Solvent Dissolutions.
The work undertaken by the corporate team is of good quality and interesting. Transactions vary from smaller acquisitions which a candidate could run on their own to larger transactions where cross firm multi-disciplinary teams are required. Recent examples include a £40m sale of a hotel group and a £15m exit and investment. There is also a developing strand of work in Employee Ownership which we expect to grow and existing connections to the Co-operative and Social Business Sectors which bring up interesting and varied work.
We are firmly committed to a good work life balance and targets for fee earners recognise this. The role is not limited by geography, however, attendance in the office, when required to complete projects and supervise team members will be required. As will attendance to meet clients and attend conferences and events. Notwithstanding the attendance requirements it is expected that this role can be carried out remotely for part of each week.
About the candidate
We envisage the successful candidate to be a qualified lawyer with 3+ years PQE working within the company and commercial department of their existing firm.
We are looking for a lawyer that wants to take the next step in their career and who is ready to take responsibility for the running of transactions. The ideal candidate will already be running smaller transactions and playing a significant role in larger transactions where partners and senior colleagues are running the transaction.
The client base at Anthony Collins is wide and varied and so any prospective candidate must be open to learning about new sectors, business structures and ways of doing business. The work is challenging so candidates must be adaptable and have the ability to learn quickly and think on their feet.
Candidates will be expected to play their part in business development, including writing articles and delivering learning sessions both remotely via webinars and also, when possible again, in face-to-face settings. Networking both internally and externally will also be something that a successful candidate must be keen to be involved in and ideally will already have been able to demonstrate.
