Department purpose

The Corporate Trust and Agency team sit within the International Capital Markets group and is widely recognised as a leader in the markets in which it operates. The group provides unrivalled depth and breadth of English and New York qualified lawyers to provide specialist advice to the corporate trustee and agency services community in the UK and other key countries across Europe, MENA and Asia. Legal 500 and Chambers both rank us as a top tier practice and the group regularly wins awards itself and for the deals in which it is involved.

The group also has established practices in South East Asia,  the Middle East and Africa; this geographical coverage is unmatched. We see a range of new deals and restructurings from issues and borrowers in the other regional markets including India, Pakistan, Indonesia, Australia, Turkey, Egypt and Saudi Arabia.

Role purpose

We are looking to recruit junior and mid-level lawyers for our Corporate Trust and Agency practice; individuals who are keen to expand and complement their existing skills and experience by working on a range of transactions.

The group advises trustees in relation to new issuances of securities (including domestic and cross-border Medium Term Note programmes, regulatory and hybrid capital issues, covered bonds, securitisations, CLOs, Sukuk and all other forms of asset-backed and structured finance), and loan agents in relation to new loan transactions (including real estate finance, asset finance, project finance, leveraged finance and all other forms of secured loans transactions). In addition the group also provides ‘after sales’ advisory work (including advising in relation to defaults, restructurings, insolvency, waivers, modifications and the general exercise of trustee or agent powers and discretions).

Although we are seeking applicants who ideally would have some experience in corporate trustee work, the team is made up of lawyers who have previously worked in a wide-range of disciplines and accordingly we welcome applications from those who may currently be based within General Finance, General Capital Markets, and Structured/Project Finance or Real Estate finance. Therefore, previous corporate trustee experience, although desirable, is not a pre-requisite - more important is the ability to demonstrate strong legal, analytical, transaction execution and creative problem-solving skills, as market-specific skills and experience can be developed in the collegial team environment as part of the role. The role will involve considerable responsibility and client contact with outstanding support from a well-developed training and support network.

Role and responsibilities

  • Advise delegates, trustees, security agents, facility agents, investment agents, intercreditor agents, escrow agents and account banks on a range of products including sukuk, bonds, securitisations, CLOs, project financings and other structured debt products both on a new money and post-closing (including distress/restructuring) basis
  • Drafting, reviewing and amending documentation
  • Providing strategic guidance to clients
  • Managing client expectations and project delivery appropriately
  • Business development - development of personal plan, assistance with and implementation of business development campaign
  • Legal research

Key requirements

  • Qualified lawyer NQ - 3 years PQE
  • Self-starter with the desire and ability to continuously acquire, build upon and share knowledge
  • Sound experience of operating at associate level within a complex international organisation
  • Strong commercial/business acumen with the ability to deliver creative and pragmatic solutions and advice
