Where you'll work

The corporate department offers our clients access to a full range of corporate and commercial legal services. The team advises on private company mergers and acquisitions, corporate finance, private equity, IPOs, re-organisations, share buybacks and corporate governance.

Working as part of a high-performing national and growing regional team, the new recruit will advise clients operating in a variety of sectors on a diverse range of corporate and commercial matters, but with a main focus on private company M&A.

The corporate department is supported by specialists in our other departments, including banking, tax, employment and intellectual property.

What you'll be doing

  • Advising on private company acquisitions and disposals – including both share and business/asset deals;
  • Advising on private company reorganisations and intra-group transfers;
  • Setting up acquisition structures including shareholders agreements/investment agreements and shareholder funding arrangements;
  • Advising on joint venture shareholders' agreements in both the Private and Public Sector;
  • Advising on the corporate aspects of management and executive incentive packages;
  • Advising on general corporate matters including share buy-backs, capital reductions, distributions and corporate governance matters;
  • Advising on ad hoc day-to-day corporate and commercial queries from our corporate clients;
  • Initiating, building and maintaining effective client relationships;
  • Ensuring files are managed in compliance with Lexcel procedures;
  • Pro-active participation in department and firm-wide marketing initiatives;
  • Training and development of junior legal staff (where appropriate).

What you'll need

The firm has a Career Development Framework which sets out the competencies we expect of those at the Senior Associate grade. In particular for this role we require:

  • Excellent technical skills and innovative approach to their application.
  • Strong client focus.
  • Drive and enthusiasm.
  • Commercial awareness.
  • Substantial client management experience.
  • Proven track record in origination/business development.
  • Solid academic record.
  • Qualified solicitor with relevant PQE in advising a broad diet of corporate commercial matters
  • Ability to manage files independently.
