We are looking for a tax lawyer with experience of working in a corporate tax environment to join our highly regarded Corporate Tax team in either of our Bristol or London offices. We would welcome application from candidates operating at Associate, Senior Associate or Associate Director level.

Osborne Clarke has an established, highly regarded and growing tax practice with fee earners in London and Bristol working together closely and also with colleagues internationally. The practice

Our Corporate Tax team is a strong, four partner team, which operates as one team with lawyers in both Bristol and London. The team enjoys a varied and quality work load, for mainly City-based and international clients. We provide our clients with tailored UK and cross-border tax advice that helps them meet their business objectives. Our work ranges from stand-alone tax advisory mandates to transaction linked advice. We work closely with colleagues within Osborne Clarke including our international offices and especially from our private equity, funds, corporate, real estate, projects, and banking teams. As you’d expect, we are heavily involved in transactional planning, structuring, financing and related documentation for funds, real estate, private equity and corporate clients. We have a reputation for giving technically excellent advice that is commercial and user-friendly regardless of whether we are providing strategic support or working under pressure on a transaction.

The Corporate Tax team is closely aligned to Osborne Clarke's sector strategy and particularly active, with strong client relationships, within the areas and sectors of technology, media and communications; real estate and infrastructure; financial services; and healthcare and life sciences.

The team

The Corporate Tax team is currently made up of 4 Partners, 3 Senior Associates, 3 Associates and 1 Trainee Solicitor and a dedicated knowledge lawyer.

The Corporate Tax team forms part of the wider UK Tax group, which includes dedicated Incentives and Private Wealth teams. The UK Tax group benefits from an excellent training programme and support for external study. A strong commitment to individuals' career development and to team based working together with the training support ensures our lawyers are technically excellent and have rewarding careers within a collegiate working environment. 

The work

Our clients include high-profile publicly listed companies, management teams, investment funds, family owned businesses, real estate investors and developers. Some examples of the deals we've recently advised on and clients we act for are as follows:

• In one of the largest management buyouts in the UK in 2018, Osborne Clarke advised on the management tax aspects of the sale of NEC Group to Blackstone. This covered a full tax advisory role acting for the key management team on exit and equity reinvestment.

• Osborne Clarke has advised Gram Games, the mobile game developer behind 1010! and Merge Dragons!, on its $250 million sale to leading social games company, Zynga Inc. (Zynga).

• We provided full tax structure advice and support for leading UK infrastructure manager and developer, Equitix, and global operator and investor in student accommodation, Campus Living Villages, on a joint venture student accommodation development project with Durham University.

• We advised Solarplicity, one of the UK’s leading renewable energy providers, on the sale of 133MW of solar assets. The transaction is for a UK-wide portfolio of 22 ground-based and 6 roof-top solar assets.

• We advised Arlington and Equitix on a joint venture acquisition and £200m financing of ‘The Stellar Portfolio’ of 1,857 beds of purpose-built student accommodation from Fusion Students.
• Osborne Clarke has advised UK mid-market private equity investor, Tenzing Private Equity, on its investment in Ticketer, the UK’s leading provider of bus ticketing technology.

• We provide full tax structuring advice and support for M&G Real Estate's residential property fund in relation to its build to rent investments including recent Thames Quarter development in Reading.

• The team has an on-going advisory relationship with a number of key Osborne Clarke investment fund and pension fund clients.

• The team provided complex stamp duty and SDLT advice to a client ahead of a planned £1bn merger.

Technical skills and experience

We look for excellent academics, together with evidence of good quality training gained within a highly regarded Tax practice. You will have a demonstrable understanding of UK tax rules and structures, ideally with experience of advising across some of the areas of corporate, real estate, projects, funds, finance and other commercial transactions. Cross-border tax expertise is also desirable but not essential.

As a guide, due to the nature of the work and the current team needs, we are ideally looking to appoint someone with some previous relevant experience. However, the current structure of the team means that we can consider candidates from Associate to Associate Director level.
