THE ROLE

The DLA Piper Luxembourg Corporate team advises clients on a full range of corporate related matters, including Luxembourg and international transactions. Our clients include major corporate, private equity houses, financial institutions, start-ups, high growth companies and owner-managed businesses. The team is part of a wider global team and frequently acts on deals involving our worldwide colleagues, giving our clients access to one of the largest legal and tax network in the world. A big part of your role will evolve around Corporate, M&A and PE.

We are currently looking for a talented and experienced Lawyer with 3 to 6 years' experience to join our Corporate team. If you are interested in learning more about this opportunity, we would be delighted to hear from you.

MAIN DUTIES AND RESPONSIBILITIES

  • Manage and advise clients on national and cross border corporate transactions, including M&A and PE deals, MIP, joint ventures, group reorganisations and general corporate/commercial work;

  • You will be engaged in structuring, drafting and negotiating a variety of corporate transactions, including structuring work, share and asset purchase agreements, subscription agreements, joint ventures and other partnering agreements, shareholders' agreements, equity and debt instruments, etc.;

  • Actively advise companies, founders, board of directors, executives and committees on a wide range of operational matters and strategic transactions and provide them with on-going legal and personalised support; and

  • Lead closings and handle due diligence processes;

SKILLS AND ATTRIBUTES

  • European Master's degree in Law, and preferably an LL.M; ability to show evidence of an attractive academic track record;

  • Professional experience in corporate law with major Luxembourg and/or international legal firm;

  • Excellent command of English and French (both verbal and written); German or any other main foreign language is a real asset;

  • Excellent legal and technical language skills;

  • A motivated, open minded and look-forward approach individual who will thrive in an environment where excellence, innovation and going that extra mile are the norm;

  • Strong commercial awareness and the ability to give pragmatic advice are essential for this role;

  • Accuracy, confidentiality and punctuality are not strange concepts to you;

  • Able to prioritise and manage effectively multiple and complex tasks;

  • Good communication and interpersonal skills; and

  • Eager to work in a dynamic but demanding context.
