Team overview:

Ashurst's London-based US capital markets team is led by highly respected senior lawyer Jennifer Schneck together with Eric Stuart. Jennifer began her career in New York with Cleary Gottlieb. She spent significant time in Europe prior to joining Ashurst, with both Cleary Gottlieb and Linklaters She has over 25 years of experience and is well regarded in the London market. Eric helped start the US capital markets team at Ashurst and has 25 years of experience.

The US capital markets team sits with the Equity Capital Markets (ECM) team but is active as well on debt capital markets (DCM) transactions, debt private placements to US insurance companies and other institutional investors, fund transactions, US aspects of European merger & acquisition transactions and other finance work. The team also works alongside the firm's US high-yield debt team.

The profile of Ashurst's ECM practice has grown hugely over the past 15 years. Originally a reputable practice principally for domestic London-based listings (mostly representing corporate issuers), it has expanded its scope to include underwriter representations and international transactions. Today, we represent all the major bulge-bracket investment banks on ECM transactions in addition to a wide range of corporate issuers.

The transactions we work on include initial public offerings (IPOs) and share listings, rights offerings and other secondary share offerings, investment grade and high-yield debt offerings, fund offerings, jumbo note programmes for bank issuers, US private placement debt offerings with ACIC documentation, tender offers and exchange offers and corporate restructurings.

Representative investment bank clients include Barclays, Bank of America Merrill Lynch, Credit Suisse, Deutsche Bank, Goldman Sachs, Jefferies, JP Morgan, Morgan Stanley, Numis and UBS.  Representative corporate clients include Angel Trains, EnQuest, Green REIT, Lamprell, Pedemontana, Renewi, Softcat and Vedanta.

Job overview:

We are currently looking for a junior capital markets lawyer who is US-trained and qualified to join our team in the London office. We are looking for someone who is eager to take responsibility and who has the gravitas needed for extended client contact. Outstanding English-language writing skills are essential, as are attention to detail and an ability to grasp legal concepts quickly. Our ideal candidates will also be adept at dealing with clients in a multi-lingual, multi-cultural environment. A JD is strongly preferred. The ability to conduct business in German would be a strong positive.

Typical responsibilities include:

  • Assisting in the drafting of prospectuses;
  • Drafting of legal documents and agreements;
  • Assisting on and overseeing documentary due diligence on issuers;
  • Negotiating agreements under the supervision of more senior lawyers;
  • Playing a leading role in transaction management; and
  • Contributing to departmental know-how.

Essential skills and experience:

  • Admission to the bar with good standing in a US jurisdiction, with a preference for New York;
  • Outstanding English-language communication skills, particularly writing skills; and
  • Post-qualification experience in US securities law transactions.
